1. Agreement to Terms

By accessing or using Terraback (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Terraback is a command-line interface (CLI) tool that scans cloud infrastructure and generates Terraform configurations. The Service includes:

The Terraback CLI application
Beta program access
Professional and Enterprise licensing tiers
Documentation and support services
Community access via Slack

3. License and Usage Rights

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Terraback according to your subscription tier:

Free Tier: Limited to 10 resources per scan, basic features only
Professional Tier: Unlimited resources, advanced features, single machine
Enterprise Tier: Unlimited resources, all features, multiple machines, priority support
Beta Access: Professional tier features for the beta period duration

3.2 License Restrictions

You may NOT:

Reverse engineer, decompile, or disassemble the software
Remove or alter any proprietary notices
Share, transfer, or sublicense your license key
Use the Service for illegal purposes
Circumvent any license limitations or security measures
Resell or redistribute the Service
Use automated means to create multiple trial or beta accounts

3.3 Machine Binding

Professional licenses are bound to a single machine fingerprint. Using the same license on multiple machines simultaneously is prohibited and may result in license termination.

4. User Accounts and Security

4.1 Account Responsibility

You are responsible for:

Maintaining the confidentiality of your license key
All activities that occur under your account
Notifying us immediately of any unauthorized use
Ensuring your cloud credentials are properly secured

4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

5. Payment Terms

5.1 Pricing

Current pricing is available at terraback.io/pricing
Prices are in USD unless otherwise stated
We reserve the right to modify pricing with 30 days notice

5.2 Billing

Professional and Enterprise licenses are billed annually
Payment is due upon purchase or renewal
All fees are non-refundable except as outlined in our Refund Policy

5.3 Taxes

You are responsible for all applicable taxes, and we will charge tax when required by law.

6. Beta Program Terms

6.1 Beta Access

Beta access is provided "as-is" without warranties
Features may change or be removed without notice
Beta access may be terminated at any time
Feedback provided during beta becomes our property

6.2 Beta Limitations

Maximum 150 participants
90-day access period
No guarantee of continued access after beta ends
No service level agreements apply

7. Intellectual Property

7.1 Ownership

Terraback and its original content, features, and functionality are owned by Terraback and are protected by international copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of any Terraform configurations generated using our Service. However:

Generated configurations are your responsibility
We are not liable for any issues arising from their use
We may collect anonymized metrics about usage patterns

7.3 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without compensation to you.

8. Privacy and Data Protection

8.1 Data Collection

Our data practices are described in our Privacy Policy. By using Terraback, you consent to such practices.

8.2 Cloud Credentials

Terraback NEVER stores or transmits your cloud credentials
All scanning occurs locally on your machine
You are responsible for properly securing your credentials

9. Prohibited Uses

You may not use Terraback to:

Violate any laws or regulations
Infringe on intellectual property rights
Transmit malicious code or viruses
Attempt to gain unauthorized access to any systems
Scan infrastructure you don't own or have permission to scan
Perform any activity that disrupts or interferes with the Service

10. Disclaimers and Warranties

10.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that:

The Service will be uninterrupted or error-free
Generated Terraform configurations will be perfect or complete
The Service will meet your specific requirements
Any errors in the Service will be corrected

10.3 Your Responsibility

You acknowledge that:

You are responsible for reviewing and testing all generated configurations
Infrastructure changes can have significant consequences
You should maintain backups before applying any changes
You must comply with your cloud provider's terms of service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PAST 12 MONTHS
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
WE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, REVENUE, OR PROFITS

12. Indemnification

You agree to indemnify and hold harmless Terraback and its affiliates from any claims, damages, losses, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any damage caused by your use of generated configurations

13. Termination

13.1 Termination by You

You may stop using the Service at any time. Annual subscriptions are non-refundable except as outlined in our Refund Policy.

13.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for:

Breach of these Terms
Non-payment of fees
Suspected fraudulent or illegal activity
Upon request by law enforcement

13.3 Effect of Termination

Upon termination:

Your license to use Terraback is immediately revoked
You must destroy all copies of the software
Provisions that should survive will remain in effect

14. Updates and Modifications

14.1 Service Updates

We may update the Service at any time without notice. Updates may add, modify, or remove features.

14.2 Terms Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified via:

Email to registered users
Notice on our website
In-app notification

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a claim, you agree to try to resolve disputes informally by contacting us at legal@terraback.io

16.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

16.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

17. Export Controls

You may not use or export Terraback in violation of U.S. export laws and regulations.

18. Entire Agreement

These Terms constitute the entire agreement between you and Terraback regarding the Service and supersede all prior agreements.

19. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force.

20. Waiver

Our failure to enforce any right or provision shall not be considered a waiver of those rights.
